These rules mandate the publication of Terms of Use and practices for accessing and using any functional website.

Flipopay operates and manages this Website, registered under the name M/s Flipopay Payment Solutions Private Limited, referred to as “We,” “Our,” and “Us.” Our intention is to ensure your consistent commitment to using this Website and the services provided through it. For the purposes of these Terms of Use (“Terms”), “We,” “Company,” “Our,” and “Us” refer to Flipopay. “You,” “Your,” “Yourself,” and “User” refer to natural and legal individuals or firms using this website, who are competent to enter binding contracts under Indian laws. “Third Parties” refer to any website, platform, or individual apart from the Users and the creators of this Website.

It offers payment solutions facilitating users to collect payments through various channels such as UPI with QR, Net-Banking, and Debit & Credit Card payments, utilizing tailored services for customers in both collections and payments. Additionally, the Website offers financial advisory and management services based on the nature of the business platform. It facilitates payment collections under UPI (OR Mode), Net-banking, Debit & Credit Cards by generating payment links, net-banking links, web hooks, payment buttons, and payment subscriptions. Moreover, bulk payout services are provided in UPI payout, Net-Banking Payouts, IMPS, NEFT, and RTGS. The Website may also implement preference-based services for future payment collection methods as per developments. Its functionalities operate in compliance with Indian payment and settlement guidelines to provide digital payment service provider solutions, ensuring seamless bulk transaction settlement services.

For making all payments for purchases on the Website, you shall be required to make payment for which you will be redirected to a third-party Payment service provider that we may have an agreement with. The Payment service provider may additionally seek information from you to process the payment for your purchase and additionally may charge you the Payment service provider charges that may be applicable. The Payment service provider consists of Banking/UPI and other wallet options. You shall be governed under the concerned Payment service provider’s Terms and Conditions and other Policies for the purpose of all payment-related aspects.

All text, graphics, User interfaces, visual interfaces, photographs, trademarks, logos, brand names, descriptions, sounds, music and artwork (collectively, ‘Content’), is generated/provided or based on information provided by the users or third parties and We have no control and make no guarantees regarding the quality, the accuracy, integrity or genuineness of such content or such other information provided on the Website. All the Content displayed on the Website is subject to copyright and shall not be reused by You (or a third party) without the prior written consent from Us and the copyright owner. You are solely responsible for the integrity, authenticity, quality, and genuineness of the content provided on the Website and whilst feedback and comments by You can be made via the Website, we bear no liability whatsoever for any feedback or comments made by the other Users or made in respect of any of the content on the Website. Further, the Website reserves its right to suspend the account of any User for an indefinite period to be decided at the discretion of the Website or to terminate the account of any User who is found to have created or shared or submitted any content or part thereof that is found to be untrue/inaccurate/misleading or offensive/vulgar. Flipopay assumes no liability for any errors or omissions, whether on its own behalf or for any damage caused to you, your belongings, or any third party, resulting from the use or misuse of the Website or any service availed through it. The service and any content or material displayed on the service are provided without any guarantees, conditions, or warranties regarding accuracy, suitability, completeness, or reliability. Flipopay will not be liable to you for the unavailability or failure of the Website. In case of disputed payments, refunds will be issued to the original method used for the transaction. If the user fails to contest the Disputed Transaction within the specified working days or contests it without providing adequate documentation, we reserve the right to recover the refund amount from subsequent credits to the escrow account.

You are solely responsible for handling all payments related to refunds, and we will not be liable for any claims or disputes arising from such refunds. You agree to indemnify us against any claims, disputes, penalties, costs, and expenses related to refunds and disputes.

The User acknowledges that the fees charged by us for Disputed Transactions will not be refunded.

We reserve the right to limit your access or activity on the Website without notice if:

You breach any of these Terms of Use or the Privacy Policy.

You provide false, inaccurate, or incomplete information.

Your actions may harm other users or us.

Unless expressly agreed otherwise, you may not use any of the intellectual property displayed on the Website in a manner that may cause confusion or disparagement. We shall not be liable for damages resulting from any delay or failure to perform our obligations hereunder due to causes beyond our control, including but not limited to acts of war, acts of God, natural disasters, riots, technical failures, or internet interruptions.

The formation, interpretation, and performance of these Terms of Use and any disputes arising therefrom shall be resolved through Arbitration. This provision shall survive even after the termination or expiry of the Terms of Use and/or Privacy Policy. You agree that these Terms of Use, Privacy Policy, and any other agreements between the Parties are governed by the laws of India.

Arbitration: In case of unresolved disputes, arbitration by a sole arbitrator appointed by us shall be conducted in English, with the seat of Arbitration in Chennai, India. The arbitrator’s award shall be binding on all parties, and arbitration costs shall be borne according to the arbitrator’s decision.

You agree that these Terms of Use, Privacy Policy, and any other agreements between the Parties are governed by the laws of India.

Entire Agreement: These Terms of Use, along with the Privacy Policy, constitute the entire contract between us regarding the subject matter herein and supersede all prior communications and agreements.

Waiver: Our failure to enforce any provision of these Terms of Use shall not affect our right to enforce it later. No waiver of any breach shall be deemed a waiver of any other breach.

Severability: If any provision of these Terms of Use is found invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
